Welcome to HelpData, a product of Upconomy. These Terms of Service (“Terms”) govern your access to and use of our platform, services, and website (collectively, the “Service”). By accessing or using HelpData, you agree to comply with these Terms, so please read them carefully.

1. Acceptance of Terms

By accessing or using HelpData, you agree to these Terms of Service and any additional guidelines, rules, or policies that may apply. If you do not agree to these Terms, you must not use our Service.

2. Changes to Terms

HelpData reserves the right to modify or update these Terms at any time. Any changes will be posted on this page, and the updated Terms will become effective as of the date of posting. We encourage you to review this page periodically for any updates.

3. User Registration and Account

To use our Service, you need to create an account. By registering, you agree to provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account information, including your login credentials, and for all activity that occurs under your account.

If you believe there has been any unauthorized access to your account, please contact us immediately.

4. Data Usage and Enrichment

HelpData allows you to upload contact data (e.g., CSV files) to enrich them with additional information. By using our Service, you represent and warrant that:

  • You own or have the necessary rights to use the data you upload to our platform.

  • You will not upload any data that violates any applicable laws, including laws related to privacy, data protection, and intellectual property.

  • You will use the enriched data solely for lawful purposes and in compliance with all relevant laws and regulations, including GDPR.

Data Deletion: Once you download the enriched data from our platform, HelpData does not store or retain any of the enriched data. All data will be automatically deleted from our system immediately after you download it. This ensures that your enriched data is not stored or used for any other purposes.

5. Internal Tokens – DataTokens

HelpData uses internal tokens, called DataTokens, to power the data enrichment process. DataTokens are required to process and enrich your data.

  • Purchasing DataTokens: DataTokens can be purchased directly from the HelpData website. These tokens are used to access the enrichment features of our platform.

  • Usage of DataTokens: Each data enrichment task or process requires a specific number of DataTokens, depending on the complexity and volume of the data being enriched.

You can manage and track your DataTokens through your HelpData account.

6. Data Ownership and Intellectual Property

HelpData retains all ownership rights to the Service, including the platform, technology, algorithms, and data enrichment processes. By using the Service, you do not acquire any ownership rights to the platform, but you are granted a limited, non-transferable license to use the Service in accordance with these Terms.

The enriched data you upload and the results generated by our Service are owned by you. However, HelpData may store and use this data for the purposes of providing and improving the Service.

7. Prohibited Activities

You agree not to use HelpData for any unlawful, fraudulent, or malicious activity. Prohibited activities include, but are not limited to:

  • Using the Service to collect or process sensitive personal data without proper consent.

  • Violating any applicable data protection or privacy laws.

  • Engaging in spamming, phishing, or other forms of unsolicited communication.

  • Using HelpData to enrich or manipulate data that could harm others or violate their privacy rights.

HelpData reserves the right to suspend or terminate your access to the Service if you engage in any prohibited activities.

8. Payment and Billing

HelpData offers both free and paid services. You may be required to provide payment information if you wish to access premium features, such as purchasing DataTokens or using advanced enrichment capabilities.

  • Billing Information: You agree to provide accurate and complete payment details when required. We use third-party payment processors to handle your payments, and by making a payment, you agree to the terms and conditions of the payment processor.

  • Subscription Fees: If you choose a subscription plan, you will be billed according to the terms specified at the time of purchase. Subscription fees are non-refundable unless otherwise specified.

  • Cancellation: You may cancel your subscription at any time, but payments made before cancellation are non-refundable.

9. Data Protection and Privacy

HelpData takes your privacy seriously. Our Privacy Policy outlines how we collect, use, and protect your personal information, including compliance with GDPR.

By using the Service, you consent to the collection and processing of your data as described in our Privacy Policy.

10. Limitation of Liability

To the fullest extent permitted by law, HelpData is not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill, arising from or related to your use of the Service.

HelpData’s total liability for any claim related to these Terms or the Service will not exceed the total amount you have paid to HelpData for the Service in the 12-month period immediately preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless HelpData, Upconomy, and their affiliates, employees, officers, and directors from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

HelpData may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account by contacting us or through the platform’s settings. Upon termination, you will no longer have access to the Service, and any unused DataTokens will be forfeited.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union, without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the courts located within the Republic of Bulgaria for any disputes arising from these Terms.
